Terms of Service

1. Eligibility

The Service is intended for business and commercial use only.

By using the Service, you represent that:

- You are at least 18 years old

- You have authority to bind your organization

- You are using the Service for lawful business purposes

2. Description of Service

Greenhouses.app is a Software-as-a-Service (SaaS) platform that enables greenhouse operators to:

- Manage crop production

- Track workforce activities

- Monitor productivity metrics

- Generate operational analytics

- Manage QR-based traceability systems

We may modify features at any time to improve functionality.

3. Account Registration

You are responsible for:

- Maintaining confidentiality of login credentials

- Ensuring information is accurate

- All activities under your account

We may suspend accounts that violate these Terms.

4. Client Data & Ownership

All operational, workforce, and agricultural data uploaded remains the property of the Client.

Greenhouses.app acts as a data processor, and the Client acts as the data controller.

You are responsible for ensuring you have legal authority to upload and process employee data within the platform.

5. Acceptable Use

You agree NOT to:

- Use the Service for illegal purposes

- Attempt unauthorized access

- Interfere with platform security

- Upload malicious software

- Reverse engineer or copy the platform

Violation may result in suspension or termination.

6. Workforce Monitoring Responsibility

If you use the platform to monitor workers:

- You are solely responsible for complying with labor and privacy laws

- You must properly notify employees

- You assume full legal responsibility for employee data use

Greenhouses.app is not responsible for labor compliance violations by clients.

7. Fees & Payments

If applicable:

- Subscription fees are billed monthly or annually

- Fees are non-refundable unless agreed in writing

- Failure to pay may result in suspension

Taxes are the responsibility of the Client.

8. Termination

We may suspend or terminate accounts if:

- Terms are violated

- Fees are unpaid

- Fraud or misuse is detected

Upon termination:

- Access is revoked

- Client may request data export within [15 days]

9. Intellectual Property

All software, design, code, trademarks, and system architecture belong to Greenhouses.app.

You may not:

- Copy

- Resell

- Modify

- Distribute

- Create derivative works

Without written authorization.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted service.

We are not liable for:

- Downtime

- Third-party infrastructure failures

- Internet disruptions

11. Limitation of Liability

To the maximum extent permitted by law:

Greenhouses.app shall not be liable for:

- Indirect damages

- Lost profits

- Business interruption

- Data loss beyond subscription value

Total liability is limited to the amount paid in the previous 12 months.

12. Indemnification

You agree to indemnify and hold harmless Greenhouses.app from claims arising from:

- Misuse of the platform

- Labor law violations

- Improper employee monitoring

- Data uploaded without proper authorization

13. Governing Law

These Terms shall be governed by:

- Laws of Mexico (if Mexican entity), OR

- Laws of the State of [Insert US State] (if LLC)

Jurisdiction shall be determined based on company registration.
